Contract
We must receive a payment for the goods you order before your order can be accepted. Once payment has been received by us we will confirm that your order has been accepted by sending you an invoice. Our acceptance of your order brings into existence a legally binding contract between us.

We reserve the right to cancel the contract between us if:

• We have insufficient stock to deliver the goods you have ordered
• We do not deliver to your area
• One or more of the goods you ordered was listed at an incorrect price due to a typographical error or an error in the pricing information received by us from our suppliers. If we do cancel your contract we will notify you and will re-credit to your account less any sum deducted by us from you as soon as possible. We will not be obliged to offer any additional compensation for disappointment suffered.

Price
The prices payable for goods that you order are as set out in our website. You will be required to pay delivery charges, where applicable and it may not be possible for us to deliver to some locations. For overseas delivery charges please email us with the delivery address and the items you wish to order and we will provide a quotation.

Payment
All ordered items need to be fully paid for before delivery.

Taxes
All purchases within the UK are charged VAT at 20%. The prices on our site are VAT inclusive. Overseas orders may be subject to import duties and taxes, which are levied once a shipment reaches its destination country. We have no control over additional customs charges and as such, these charges are to be paid by the purchaser.

Warranty
We offer a 10 year warranty period on all our sofas as standard*.

With our standard warranty the outer fabric/leather, padding, mechanism's and stitching are covered for 2 years, after which the remainder of the warranty covers the wooden frame, feet and springs only.

Our warranty only applies to goods used for ' residential use'. We do not cover goods that are used for 'commercial use'. For commercial use, we do not accept any responsibility or liability for safety standards or compliance unless you have requested in writing, furniture for use in that environment and we have supplied relevant safety certification.

Ex-display and clearance items are sold with a 12 month warranty only.

For sofa beds, only one replacement sofa bed mechanism is allowed throughout the 10 year warranty preiod.

For electric recliners, only one replacement electric recliner mechanism per seat  is allowed throughout the 10 year warranty preiod.

For manual recliners, only one replacement manual recliner mechanism per seat  is allowed throughout the 10 year warranty preiod.

All other items come with the standard manufacturers warranty which is usually 12 months from the date of delivery.

Sofas purchased before 01.03.2017 come with a 5 year warranty only with the outer fabric/leather, padding, mechanism's and stitching covered for 1 year, after which the remainder of the warranty covers the wooden frame, feet and springs only.

Delivery
Deliveries are not fulfilled by Denelli Italia, instead they are completed by a number of third party companies.

Delivery dates acknowledged by Denelli Italia are non-binding estimates only, based upon the best available information concerning manufacturers lead times and transportation schedules. Therefore orders may be shipped on the estimated date, prior to the estimated date with the buyers' approval or after the estimated date. Special delivery conditions requested by the buyer should be given in writing, email (info@denelli.co.uk) or at the time of order placement and will be considered by Denelli Italia and if necessary conditions and charges may change accordingly. From delivery all risks for the goods pass to the buyer.

All items are delivered where possible to your room of choice. In situations where items have to go upstairs a charge will be applied to cover the time on site.

Once an item comes into stock we can store it for up to 8 weeks at our warehouse, after which your item will be put into storage at a charge of £50.00 per week.

Our delivery team will not unpack, install or remove any packaging for you, this up to you the customer to do unless this has been agreed at point of sale and specifically written on your invoice.

It is the customer’s responsibility to ensure hallways, corridors, doors, walls and any route which may be needed to deliver your goods are completely clear and protected. In the case of flats and apartments communal areas which need to be accessed will also need to be protected. This includes placing a protective layer on flooring, doors, walls and carpets as well as removing items such as vases, furniture and mirrors etc. from any designated route. Any damage to a property that as occurred without the above set of conditions being implemented is the responsibility of the customer, Denelli Italia will not be held liable in any way. In the event that damage is done to your property whilst you have implemented the above set of conditions please make the couriers aware of this straight away and ensure an 'Incident Report' is filled in with the couriers on site. If this is not done your claim against the third party courier will not be valid.

Please do not discard any existing furniture you have until you have received your new furniture and are fully satisfied with it. Denelli Italia will not be held liable if you choose to do so.

Costs for moving furniture up staircases vary. Price depends on size, weight and man power required for the job. Please contact us prior to order for charges.

Failed delivery
In the event of a failed delivery such as the item does not fit, customer unavailable once delivery date has been agreed, carriers do not have access to property etc... There is a surcharge for redelivery. If the item cannot fit into the property and has to be returned we will refund your monies minus 20% restocking fee and logistic costs. Note: On bespoke or made to order products we are under no obligation to refund any monies for failed delivery due to incorrect measuring. However in most cases, the standard failed delivery penalties will apply.

Delays
Delays in production and shipping may occur. If a delay occurs, don’t panic. We will work hard to get your purchase to you, but please keep in mind that we work with high-ticket and large items, which come from all over the world. In most cases, delays occur during busy seasons, holidays, due to production delays, or other factors not in our control. We will make all efforts to quote accurate lead times and notify all our customers promptly. Please note that we are not responsible for product delays from the manufacturer. Under no circumstances will Denelli Italia be responsible for any consequential damages resulting in shipping delays. Due to increased security by governments, customs delay may also occur, which is beyond our control. Please note delivery times on our website are approximate only and can vary.

Liability
If the goods we deliver are not what you ordered, are damaged or defective, or the delivery is of an incorrect quantity, we shall have no liability to you unless you notify us of the problem in writing within 14 working days of the delivery of the goods in question.
If you notify a problem to us under this condition, our only obligation will be, at your option:
• To make good any shortage or non-delivery
• To replace or repair any goods that are damaged or defective
• To refund to you the amount paid by you for the goods in question (minus any charges)

Save as precluded by law, we will not be liable to you for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem you notify to us under this condition. We shall have no liability to pay any money to you by way of compensation, other than to refund to you the amount paid by you for the goods in question.
You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase goods from our site. The importation or exportation of certain types of our goods to you may be prohibited by certain national laws. We make no representation and accept no liability in respect of the export or import of the goods you purchase.
Notwithstanding the foregoing, nothing in these Terms & Conditions is intended to limit any rights you might have as a consumer under applicable local law or other statutory rights that may not be excluded, nor in any way to exclude or limit our liability to you for any death or personal injury resulting from our negligence.

Returns and Exchange Policy
Bespoke/made to order products are made to the customer's specifications and cannot be returned. If received damaged or defective then we will attempt to repair the damage, if this is not possible then a replacement part/item will be manufactured and delivered as soon as possible.

If a product (not a bespoke order) would like to be returned or exchanged for a different item, please contact us within 14 days of receiving your order. You may return or exchange goods up to 14 days after the date of delivery (cooling off period). This is based on the following

1)      The item remains  in a brand new and saleable condition

2)      Items must be returned with adequate packaging to protect the goods

3)      Delivery charges will not be refunded

Sales and Discounts
We often run various sales / discounts on some of our products.  (Facebook, Twitter, brands and sales).

To apply these disounts you need to add the 'voucher code' in the box titled 'Got a gift certificate or promotional code?' at point of checkout.

We only permit you to use one voucher code per purchase.  No voucher code can be used in conjunction with any other voucher, offer or discount.

We reserve the right to withdraw and cancel sales/offers without given notice.

Products
We make every effort to ensure colours appear as realistic as possible. However due to the constraints of digital reproduction on different web browsers, we cannot guarantee exact colour depiction, we advise you to request a colour sample. Please note shade variations can occur due to the dying process on every leather hide. Every care is taken to ensure descriptions and measurements are accurate, however slight variations may occur. Measurements are approximate and can vary slightly, also tolerances need to be taken into account with handmade products.

Cancellation
To cancel your contract you must notify us in writing at info@denelli.co.uk within 14 days of placing your order. If you wish to cancel your contract through no fault of Denelli Italia a 20% restocking penalty will apply, in addition all delivery charges will be deducted from any refund payment due. On made to order products, there is no cancellation policy.

Bespoke Products / Made to Order
Any product which requires a change in colour, design modifiation, shape, finish etc is classed as a made to order/bespoke product. Therefore normal cancellation and refund policies do not apply. In the event of a problem we will aim to repair/replace the product.

 
The product you return must be in new and unused condition with packaging and product tags still attached. New and unused means that there are no marks on the item or any wear on the tags. We will not accept any item with any indication that it was used. In such cases, the item will be returned to the purchaser at the purchasers cost. All accurately returned products will be credited to the original purchaser via cheque or bank transfer excluding delivery costs.

Notices
Unless otherwise expressly stated in these Terms & Conditions, all notices from you to us must be in writing and sent to us either via email at info@denelli.co.uk

Events beyond our control
We shall have no liability to you for any failure to deliver goods you have ordered or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.

Invalidity
If any part of these Terms & Conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.

Denelli Italia collects e-mail addresses voluntarily provided, to enable us to email offers, special promotions and general updates. We never make your e-mail address available to any other company or organisation without your permission.

Governing law
The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.

Entire agreement
Together with our current website prices, delivery details, contact details and Privacy Policy, these Terms & Conditions set out the whole of our agreement relating to the supply of the goods to you by us. Nothing said by any sales person on our behalf should be understood as a variation of these terms and conditions or as an authorised representation about the nature or quality of any goods offered for sale by us. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.

Newsletter
When making a purchase from us you agree to receive our newsletters either via post or email unless you notify us in writing when you have placed your order.  You may unsubscribe from our email newsletters at any point by clicking the 'unsubscribe' link located at the bottom of each email.
